This End-User License Agreement ("Agreement") is a binding agreement between Houston Sign Crafters ("we", "us", "Company") and the individual accessing or using our internal sales operations application ("the Application", "you", "User").
By accessing or using the Application, you agree to the terms of this Agreement. If you do not agree, do not use the Application.
## 1. License Grant
The Application is an internal tool made available only to authorized Houston Sign Crafters employees and contractors for the purpose of creating sales quotes, estimates, and invoices in connection with our sign manufacturing and installation business.
Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Application solely for your authorized business activities on behalf of Houston Sign Crafters.
## 2. Restrictions
You agree that you will not:
- Use the Application for any purpose outside of Houston Sign Crafters' business operations;
- Share your access credentials with unauthorized persons;
- Copy, modify, decompile, reverse engineer, or distribute the Application or any portion of it;
- Use the Application to send communications directly to customers (the Application is designed to avoid this);
- Attempt to access data, customers, or accounts outside the scope of your authorized work;
- Use the Application in any manner that violates applicable law.
## 3. Ownership
We, or our licensors, own all right, title, and interest in the Application, including all intellectual property rights. Nothing in this Agreement transfers ownership of the Application to you.
## 4. Third-Party Services
The Application integrates with third-party services including Intuit QuickBooks Online, Slack, Railway, and GitHub. Your use of those services through the Application is also subject to the terms and privacy policies of those providers. We are not responsible for the acts, omissions, or content of third-party services.
## 5. No Warranty
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM INACCURACIES.
Quotes, price suggestions, and other outputs of the Application are provided for internal guidance only and are not binding commercial offers. The final commercial decision always rests with the authorized sales representative and Houston Sign Crafters.
## 6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOUSTON SIGN CRAFTERS OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APPLICATION.
## 7. Termination
We may suspend or terminate your access to the Application at any time, with or without notice, for any reason, including but not limited to termination of your employment or contracting relationship with Houston Sign Crafters, or any violation of this Agreement. Upon termination, you must immediately stop using the Application.
## 8. Changes to the Agreement
We may update this Agreement from time to time. Continued use of the Application after the effective date of a revised Agreement constitutes your acceptance of the changes.
## 9. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising from this Agreement will be resolved in the state or federal courts located in Harris County, Texas.
